INTRODUCTION AND AGREEMENT
Agreement Formation
These Terms of Service ("Terms") constitute a legally binding agreement between you and LENS OS Ltd. ("LENS OS," "Company," "we," "us," or "our") governing your access to and use of the LENS OS platform, including our website, applications, dashboards, data interfaces, APIs, intelligence engines, and any related products or services (collectively, the "Platform" or "Service"). By accessing, browsing, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with all applicable laws and regulations. If you do not agree to these Terms, you must not access or use the Platform.
Platform Description
LENS OS is a unified real-time intelligence platform that aggregates, analyzes, and transforms global news, web content, and digital signals into structured, contextual insights. The Platform provides: real-time ingestion of global data sources; AI-driven analysis, entity extraction, and contextual understanding; automated monitoring and customizable alert Signals; advanced APIs that integrate global news intelligence into user workflows; dashboards and analytic tools for exploring trends, events, and narratives across markets, sectors, and geographies. LENS OS enables individuals, analysts, enterprises, traders, and automated agents to gain immediate awareness of emerging global developments. The Platform is informational only and does not provide financial, investment, compliance, or legal advice.
Platform Vision and Purpose
LENS OS is built to unify the fragmented landscape of global information into one intelligent, always-on system. As real-time decision-making becomes increasingly dependent on timely and trustworthy data, LENS OS provides a single fabric for: transforming unstructured global events into structured intelligence; enabling users and organizations to stay ahead of emerging risks, narratives, and opportunities; reducing noise and surfacing only the most relevant signals; empowering both experts and non-experts through accessible, AI-enhanced insights. Our vision is to redefine how the world consumes information by making real-time global intelligence available to everyone—from individual creators and analysts to large enterprises and automated systems.
Modifications to Terms
We reserve the right to modify, update, or replace these Terms at any time, in our sole discretion. When changes are made, the "Last Updated" date at the top of the Terms will be revised. Material changes will be made accessible through the Platform. Your continued use of the Platform following any such modifications constitutes your acceptance of the updated Terms. If you do not agree with the modifications, you must immediately discontinue use of the Platform. You are responsible for reviewing these Terms periodically to remain informed of any updates.
DEFINITIONS AND INTERPRETATION
Key Definitions
In these Terms, the following capitalized terms shall have the meanings set forth below: "AI-Powered Insights" means the Platform's capability to turn articles and data into actionable structured insights. "Data API" means the interface that allows users to integrate X402-Powered News Intelligence into their own products. "Terminal" means the real-time intelligence interface designed for market movers to track and analyze global events. "Watchtower" means the feature that monitors the open web for every change or new event instantly. "User Data" means any inputs, queries, or configuration settings provided by the User to the Platform. "Intelligence Output" means the data, summaries, alerts, and context generated by the Platform in response to User queries or monitoring configurations.
ELIGIBILITY AND ACCESS RESTRICTIONS
General Eligibility Requirements
To access and use the Platform, you must be at least eighteen (18) years of age or the age of legal majority in your jurisdiction. You must possess the legal capacity to enter into binding agreements.
Compliance with Laws
You agree to comply with all applicable laws, regulations, and rules in your jurisdiction relating to data privacy, intellectual property, and information security. You agree not to use the Platform for any illegal purposes, including but not limited to espionage, insider trading, or violation of international sanctions.
PLATFORM FUNCTIONALITY
Monitoring, Alerts, and Automated Signal Creation
The Platform provides advanced monitoring and alerting tools that enable users to configure custom Signals to track global events, market changes, regulatory developments, competitive moves, or any other topic of interest. LENS OS supports: keyword-based and entity-based monitoring; thematic and sector-level signal templates; AI-generated context summaries; automated alerting when relevant events occur; multi-source event correlation; personalized feed construction; enterprise-grade API integration for automated workflows. These capabilities allow users to operationalize real-time intelligence across a broad range of use cases—including financial markets, M&A, compliance, risk management, PR, supply-chain monitoring, and competitive intelligence—without manual scanning, tracking, or verification. All automated Signals are user-configurable and operate according to the parameters established by the user. LENS OS does not provide investment, trading, compliance, or strategic advice, and any insights surfaced by the Platform should be independently evaluated before use.
Security, Anti-Manipulation, and Integrity Protections
The Platform implements multiple layers of integrity and security mechanisms designed to protect users from data manipulation, automated spam, source spoofing, and malicious information interference. These protections may include: anomaly detection to identify suspicious or coordinated news bursts; anti-abuse mechanisms preventing automated systems from gaming feed visibility; filtering protections against low-credibility or deceptive sources; AI-based detection of fabricated or synthetically manipulated articles; rate-limiting and validation checks for API requests; safeguards to maintain continuity and reliability of real-time coverage. These measures are designed to ensure that users receive timely, high-quality intelligence while minimizing exposure to harmful or intentionally manipulated content. LENS OS may update or enhance these protections at any time to maintain the integrity of the Platform.
Pricing, Usage Tiers, and Data Access Structure
All Platform usage is subject to the pricing, subscription tiers, and data-access structure defined by LENS OS, which may include: pay-as-you-go API usage fees; subscription plans with varying levels of access; enterprise licensing for large-scale integrations; rate limits, query limits, or volume-based pricing; additional fees for premium intelligence modules or advanced analytics. LENS OS may also categorize data sources, intelligence outputs, or access levels according to internal quality, reliability, compliance, or security considerations. These categorizations are not endorsements and are solely for administrative and operational purposes. All pricing and access structures are subject to modification at the discretion of LENS OS in accordance with Section 15 (Modifications and Updates).
USER RESPONSIBILITIES AND TECHNICAL COMPETENCE (LENS OS Version)
Account Security and Credential Management
You are solely responsible for maintaining the security and confidentiality of all login credentials, API keys, authentication tokens, passwords, and any other means of accessing your LENS OS account or integrations. LENS OS does not store or recover your private authentication credentials and cannot restore access to accounts compromised due to lost or stolen credentials. You must implement appropriate security measures, including but not limited to: using strong, unique passwords; enabling multi-factor authentication (MFA) where available; restricting access to trusted devices and networks; securing API keys in encrypted or access-controlled environments; and monitoring and revoking compromised credentials promptly. You acknowledge that unauthorized access resulting from weak credential management may lead to loss of access, unauthorized data usage, account suspension, or additional charges, and LENS OS bears no responsibility for such consequences.
Due Diligence and Risk Assessment
Before relying on any data, insights, analytics, or automated monitoring tools provided by LENS OS, you are responsible for conducting independent due diligence and risk assessment appropriate to your use case. You acknowledge that: News data may reflect rapidly changing real-world events. Certain insights, signals, or analytics may be automated or AI-generated. The Platform does not guarantee accuracy, completeness, timeliness, or market suitability. You bear sole responsibility for evaluating the reliability and relevance of any data or intelligence generated through the Platform. LENS OS does not provide investment, financial, legal, compliance, or strategic advice, and the classification of data sources, signals, or events (e.g., verified, restricted, elevated-priority, or flagged) is not an endorsement or guarantee of credibility or correctness. You must make independent decisions based on your own research and risk tolerance.
Compliance with Platform Policies
You agree to use LENS OS strictly in accordance with its intended purpose and in full compliance with all Platform policies, documentation, and usage guidelines. You may not: manipulate or misuse LENS OS data for deceptive, fraudulent, or unlawful purposes; attempt to artificially distort market behavior through misuse of data or automated tools; interfere with Platform operations, APIs, or system architecture; deploy scraping, harvesting, or bypassing mechanisms not authorized by LENS OS; upload, transmit, or generate harmful, abusive, or illegal content through the Platform; reverse engineer, decompile, or misuse LENS OS models or data streams; or exceed or circumvent usage limits, rate limits, or access controls. Violation of this section may result in immediate suspension or termination of access, and may expose you to civil or criminal liability.
Technical Understanding and Competency
By using the Platform, you represent that you possess the necessary technical understanding to operate the features you choose to access, including but not limited to: API integration and authentication; data ingestion workflows; automated monitoring and alerting systems; AI-generated insight interpretation; rate limits, throttling, and quota management; and general data security and compliance obligations relevant to your environment. You acknowledge that: certain features operate in real time and may produce outputs automatically; automated triggers, alerts, or notifications may have operational or business implications; improper configuration, misuse, or misunderstanding of LENS OS features can result in inaccurate outputs, missed events, or unintended actions; LENS OS cannot reverse, retract, or modify any external actions taken by your systems, users, or integrations based on Platform outputs. You are solely responsible for ensuring that your use of the Platform aligns with your technical competence and operational safeguards.
Administrative Discretion and Content/System Classification
LENS OS reserves sole and absolute discretion to make administrative decisions regarding the operation, classification, and governance of the Platform. This includes, but is not limited to, decisions related to the categorization of content sources, data feeds, monitoring signals, intelligence outputs, or any other system-defined classifications used within the Platform. Determinations of whether a source, dataset, signal type, or monitored entity qualifies for a particular classification (including, without limitation, restricted, verified, elevated-priority, or blocked) may involve subjective judgment based on available information, such as source credibility, historical accuracy, regulatory compliance, risk indicators, user reports, or internal assessments conducted by LENS OS. Classifications may be based on publicly available information, proprietary analytics, automated detection systems, partner inputs, or internal review processes. These determinations are made at LENS OS's discretion and may be updated at any time.
Platform Modifications and Updates
LENS OS may modify, update, enhance, suspend, or discontinue any aspect of the Platform at any time, with or without prior notice. This includes changes to system architecture, APIs, user interfaces, signal detection logic, data models, pricing structures, security protocols, coverage sources, or overall platform functionality. While LENS OS generally aims to provide advance notice of significant updates that may materially impact user operations, certain modifications may be implemented immediately for reasons including security, legal or regulatory compliance, performance optimization, or the prevention of system abuse or misuse. Your continued access to or use of the Platform following any modification constitutes acceptance of those changes.
Data and Analytics Utilization
LENS OS collects, processes, and analyzes data related to Platform usage, interaction patterns, query behavior, system performance, content engagement, and related analytics. This information is used to improve services, optimize system performance, detect fraud or misuse, ensure compliance, enhance user experience, and develop new features or product offerings. Data handling practices—including what data is collected, how it is used, and user rights—are further detailed in our Privacy Policy, which forms an integral part of these Terms. By using the Platform, you acknowledge and agree that LENS OS may utilize such data in accordance with the Privacy Policy.
INTELLECTUAL PROPERTY RIGHTS
Platform IP
LensOS owns all intellectual property rights in the Platform, including the "X402" engine, the "SuperApp" interface, and proprietary algorithms.
License Grant
Subject to your compliance with these Terms, LensOS grants you a limited, non-exclusive, non-transferable license to access and use the Platform for your internal business purposes.
LIMITATION OF LIABILITY (LENS OS Version)
General Liability Limitations
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF LENS OS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED ONE HUNDRED UNITED STATES Dollar ($100), OR THE EQUIVALENT AMOUNT IN OTHER CURRENCIES. THIS LIMITATION APPLIES TO ALL CLAIMS, WHETHER ARISING IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTORY LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF LENS OS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Exclusion of Consequential and Indirect Damages
IN NO EVENT SHALL LENS OS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF BUSINESS OPPORTUNITIES, LOSS OF DATA, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR OTHER NON-DIRECT LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. THIS EXCLUSION APPLIES WHETHER OR NOT SUCH DAMAGES WERE FORESEEABLE AND REGARDLESS OF WHETHER LENS OS WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
No Liability for Decisions Based on Data, Insights, or Analytics
LENS OS PROVIDES NEWS DATA, INSIGHTS, INTELLIGENCE OUTPUTS, AND ANALYTICS FOR INFORMATIONAL PURPOSES ONLY. LENS OS DOES NOT PROVIDE INVESTMENT, FINANCIAL, TRADING, LEGAL, RISK, OR COMPLIANCE ADVICE. ACCORDINGLY, LENS OS SHALL NOT BE LIABLE FOR ANY LOSSES, INCLUDING FINANCIAL OR COMMERCIAL LOSSES, RESULTING FROM: reliance on Platform data, analytics, alerts, or insights; delayed, inaccurate, or incomplete information; market volatility, trading decisions, missed opportunities, or misinterpretation of intelligence; errors, omissions, or limitations in AI-generated outputs; use of the Platform for investment, trading, business, or high-risk decision-making. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THE ACCURACY AND SUITABILITY OF ANY INFORMATION PRIOR TO USING IT FOR DECISION-MAKING.
Third-Party Data, Sources, Integrations, and External Systems
LENS OS AGGREGATES AND PROCESSES INFORMATION FROM A WIDE RANGE OF THIRD-PARTY SOURCES, WEBSITES, NEWS PROVIDERS, DATA FEEDS, API ENDPOINTS, AND EXTERNAL SYSTEMS. LENS OS IS NOT RESPONSIBLE OR LIABLE FOR: the accuracy, reliability, or completeness of information originating from third parties; downtime, failures, or disruptions of external websites, networks, or data sources; actions, errors, or omissions of third-party service providers, partners, or content publishers; issues arising from your own integrations, software, scripts, or API usage; unauthorized access resulting from compromised credentials or misconfigured systems on your side. LENS OS HAS NO CONTROL OVER EXTERNAL CONTENT AND MAKES NO REPRESENTATIONS REGARDING ITS QUALITY OR RELIABILITY.
Force Majeure and Uncontrollable Events
LENS OS SHALL NOT BE LIABLE FOR ANY FAILURE OR DELAY IN PERFORMANCE CAUSED BY EVENTS BEYOND ITS REASONABLE CONTROL, INCLUDING BUT NOT LIMITED TO: acts of God or natural disasters; war, terrorism, or civil unrest; pandemics or public-health emergencies; governmental or regulatory actions; widespread internet outages or infrastructure failures; failures of hosting providers, cloud services, data centers, or telecommunications networks; industry-wide technical incidents affecting AI or data providers. In such circumstances, LENS OS may suspend or modify Platform operations as necessary.
COMPLIANCE
Anti-Money Laundering and Counter-Terrorism Financing
LENS OS is committed to preventing money laundering, terrorism financing, and other unlawful activities in connection with its data services, APIs, and Platform operations. Although LENS OS does not provide financial transactions or custodial services, access patterns, account activity, billing behavior, and other interactions may be monitored to detect suspicious or abusive conduct as required under applicable laws or as part of our internal risk-management framework. Where required, LENS OS may implement compliance measures including user verification, activity audits, automated monitoring, or reporting to relevant authorities.
Sanctions and Economic Restrictions
LENS OS complies with applicable sanctions programs administered by authorities including, without limitation, the U.S. Office of Foreign Assets Control (OFAC), the European Union, the United Nations, and other relevant jurisdictions. Accordingly: Users may be screened against sanctions lists. Access to the Platform may be restricted, suspended, or terminated for sanctioned or high-risk individuals, organizations, or jurisdictions. LENS OS will block or deny use of the Platform where legally prohibited. Users are responsible for ensuring that their own use of LENS OS does not violate any sanctions laws and must promptly notify LENS OS if their sanctions status changes.
Tax Obligations and Reporting
Users are solely responsible for determining and fulfilling all tax obligations arising from their use of LENS OS, including obligations relating to: subscription fees, API usage charges, commercial exploitation of insights derived from the Platform, or any other financial activities related to LENS OS services. LENS OS does not provide tax advice and makes no representations regarding how Platform usage is treated for tax purposes. Users should consult qualified tax professionals. Where required by law, LENS OS may report certain account or billing information to relevant tax authorities.
Securities Law Compliance
LENS OS is not a broker-dealer, investment advisor, or securities platform. The Platform provides news, analytics, and real-time insights for informational purposes only. Users are responsible for ensuring that their use of LENS OS — including use of data, analytics, or automated monitoring features — complies with applicable securities laws, including rules governing: insider trading, market manipulation, regulated investment communications, or the use of alternative data in securities markets. LENS OS reserves the right to restrict or modify access to certain datasets or features if required by regulatory guidance or compliance considerations.
Regulatory Cooperation and Information Sharing
LENS OS may be required to disclose user information, usage records, technical logs, or other relevant data in response to lawful requests, such as: subpoenas, court orders, regulatory inquiries, or law-enforcement investigations. Users consent to such disclosures where legally required. LENS OS may be prohibited from providing advance notice of such requests, and makes no guarantee that notice will be provided.
TERMINATION
Termination by LENS OS
LENS OS may suspend or terminate your access to the Platform, in whole or in part, at any time and without prior notice, for any reason or no reason. Grounds for termination may include, without limitation: violation of these Terms, misuse or abuse of the Platform, security or operational concerns, legal or regulatory requirements, or administrative or business necessity. Upon termination, your right to access or use any portion of the Platform will cease immediately. LENS OS shall not be liable for any losses, damages, lost data, business interruption, or other consequences arising from termination of access.
Termination by User
You may discontinue use of the Platform at any time. If your use relies on an account or API key, you may stop using the Platform or disable your account at your discretion. However: You remain responsible for all activity conducted under your account prior to termination. You remain liable for all accrued fees, charges, or obligations. Termination by you does not automatically release you from continuing obligations under these Terms, including confidentiality, IP restrictions, indemnification, or regulatory compliance responsibilities.
Effect of Termination
Upon termination: Your access credentials, API keys, session tokens, and account permissions may be revoked. You must immediately cease all use of the Platform, including any automated integrations or API requests. Any licenses or access rights granted to you under these Terms automatically terminate. Termination does not affect: the validity of any actions, usage, or data processing performed before the termination date, invoicing or payment obligations accrued prior to termination, or any continuing responsibilities you have under these Terms. You retain ownership of your own data or content that you independently uploaded or provided to the Platform, subject to any ongoing rights LENS OS retains under the license provisions of these Terms.
Survival of Terms
The following provisions will survive termination of these Terms and continue in effect indefinitely: Definitions Intellectual Property Rights User Obligations and Representations Data Usage and Restrictions Disclaimers and Warranties Limitation of Liability Indemnification Confidentiality Compliance and Regulatory Provisions Governing Law and Dispute Resolution Any other provisions that, by their nature, should reasonably survive termination These surviving obligations ensure continued protection of LENS OS, its intellectual property, and its legal rights after your relationship with the Platform ends.
RISKS AND DISCLAIMERS
AI and Data Accuracy
THE PLATFORM IS PROVIDED ON AN "AS-IS" BASIS. You acknowledge that AI models can produce hallucinations or inaccuracies ("AI Errors"). LensOS does not guarantee that the "AI-Powered Insights" will be error-free, complete, or 100% accurate.
No Financial Advice
While the Terminal is designed for "Market Movers", LensOS DOES NOT PROVIDE INVESTMENT ADVICE. All data is for informational purposes only. You are solely responsible for your investment and trading decisions.
Service Availability
We do not warrant that the Platform will be uninterrupted or secure. Global connectivity issues or third-party data source failures may impact the "Real-Time" nature of the intelligence.
MISCELLANEOUS PROVISIONS (LENS OS Version)
Entire Agreement
These Terms, together with the Privacy Policy and any additional policies, guidelines, or agreements referenced herein, constitute the entire agreement between you and LENS OS regarding your use of the Platform. They supersede all prior or contemporaneous discussions, communications, representations, understandings, or agreements, whether written or oral. No other agreements or representations shall be binding unless expressly incorporated into these Terms.
Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be modified only to the extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. The invalidity of one provision shall not affect the validity of the remainder of the Terms.
Assignment and Transfer
You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without the prior written consent of LENS OS. Any attempted assignment without such consent is null and void. LENS OS may freely assign or transfer these Terms, in whole or in part, to any third party without restriction, including through a merger, acquisition, restructuring, divestiture, or sale of assets.
No Waiver
A failure or delay by LENS OS in exercising any right, power, or remedy under these Terms shall not operate as a waiver of such right or remedy. No waiver shall be effective unless in writing and signed by an authorized representative of LENS OS. A waiver of one right or provision does not constitute a waiver of any other right or provision.
Force Majeure
Neither party shall be liable for any failure or delay in performance arising from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, labor disputes, governmental actions, internet outages, system failures, or other events of force majeure. The affected party shall notify the other party as soon as reasonably practicable and shall use commercially reasonable efforts to resume performance.
Notices
Notices to LENS OS must be provided in writing using the contact information designated on the Platform. Notices to users may be delivered through one or more of the following: Email to the address associated with the user account Notifications through the Platform interface Any other communication method reasonably selected by LENS OS Notices are deemed delivered when sent by LENS OS using the contact information provided by the user.
Electronic Communications
You consent to receive all notices, communications, disclosures, agreements, and documentation electronically from LENS OS in connection with your use of the Platform. Electronic delivery may include platform notifications, emails, or other electronic methods. You are responsible for maintaining copies of all electronically delivered communications.
Language and Translation
These Terms are drafted in English. Any translations provided are for convenience only. In the event of any conflict or inconsistency between the English version and a translated version, the English version shall control. All legally binding communications between the parties shall be conducted in English unless otherwise agreed in writing.
Updates and Modifications
LENS OS reserves the right to update, revise, or replace these Terms at any time by posting updated Terms on the Platform. Material changes will be indicated by an updated "Last Updated" date at the top of these Terms. Your continued use of the Platform following such updates constitutes your acceptance of the revised Terms. You are solely responsible for reviewing the Terms periodically to remain informed of any changes.
ACKNOWLEDGMENT AND ACCEPTANCE
BY ACCESSING OR USING THE LENS OS PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE IN THEIR ENTIRETY. YOU REPRESENT AND WARRANT THAT YOU HAVE THE LEGAL AUTHORITY TO ENTER INTO THESE TERMS AND THAT YOUR USE OF THE PLATFORM COMPLIES WITH ALL APPLICABLE LAWS, REGULATIONS, AND POLICIES. If you do not agree to these Terms, you must discontinue use of the Platform immediately.
